Effective upon submission acceptance
Parties
This Agreement is between:
- App Factory Dev Ltd ("Company"), registered in England and Wales (No. 16567409)
- The Submitting Party ("Discloser"), being the individual who submits a pitch via the Foundry platform
1. Purpose
This Agreement protects confidential information shared by both parties during the evaluation of a product idea submitted through the Foundry platform ("the Purpose").
2. Confidential Information
"Confidential Information" means any non-public information disclosed by either party, including but not limited to:
- Product ideas, concepts, and specifications
- Business plans and strategies
- Technical information and know-how
- Customer and market information
- Financial information
3. Obligations
Each party agrees to:
- Keep Confidential Information strictly confidential
- Use Confidential Information only for the Purpose
- Not disclose Confidential Information to third parties without written consent
- Protect Confidential Information with reasonable security measures
- Limit access to personnel who need to know
4. Exclusions
Confidential Information does not include information that:
- Is or becomes publicly available through no fault of the receiving party
- Was already known to the receiving party before disclosure
- Is independently developed without use of Confidential Information
- Is rightfully received from a third party without restriction
- Is required to be disclosed by law (with notice where permitted)
5. No Development Commitment
The Company agrees that if it declines to proceed with a submitted idea, it will not develop a substantially similar product based on the Confidential Information received from the Discloser.
6. Ownership
All Confidential Information remains the property of the disclosing party. This Agreement does not grant any license or rights to intellectual property.
7. Duration
The confidentiality obligations under this Agreement shall continue for a period of three (3) years from the date of disclosure.
8. Return of Information
Upon request, each party shall return or destroy all Confidential Information received from the other party, except as required for legal or regulatory compliance.
9. Governing Law
This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
10. Acceptance
By checking the NDA acceptance box on the pitch submission form, the Discloser agrees to be bound by the terms of this Agreement. The timestamp and IP address of acceptance constitute an electronic signature.
