Mutual Non-Disclosure Agreement

Effective upon submission acceptance

This Agreement is between:

This Agreement protects confidential information shared by both parties during the evaluation of a product idea submitted through the Foundry platform ("the Purpose").

The Company agrees that if it declines to proceed with a submitted idea, it will not develop a substantially similar product based on the Confidential Information received from the Discloser.

6. Ownership

All Confidential Information remains the property of the disclosing party. This Agreement does not grant any license or rights to intellectual property.

7. Duration

The confidentiality obligations under this Agreement shall continue for a period of three (3) years from the date of disclosure.

8. Return of Information

Upon request, each party shall return or destroy all Confidential Information received from the other party, except as required for legal or regulatory compliance.

9. Governing Law

This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

10. Acceptance

By checking the NDA acceptance box on the pitch submission form, the Discloser agrees to be bound by the terms of this Agreement. The timestamp and IP address of acceptance constitute an electronic signature.
